What we do

Banking Securities

The world’s banking and finance sectors—not to mention related industries—are huge, highly regulated, and constantly evolving. Because of the size and dynamic nature of these industries, the laws that govern them are often highly complex. We advise clients in relation to the preparation of various security documents catering to the banking sector, including legal charges, corporate bonds and debentures, chattel mortgages, letters of hypothecation, deeds of guarantee and indemnity, simple loan agreements, syndicated loan agreements, perusing security documents for companies borrowing money and preparation of necessary board resolutions, and related stamping and registration formalities.

Conveyancing & Real Estate Law

Our team is efficient, thorough and provides hands on legal solutions under this head. We have expertise in acquisition, construction/development, financing, land use, environmental law and planning, transfers as well as offer advice on property county rates and land rent. Additionally, the team has acted for clients across the full spectrum of real estate matters, including joint ventures, residential conveyancing, and commercial leases, licences, development projects, sectional property transactions, sub-divisions, change of use, conveyances, re-conveyances, discharge of encumbrances over land, caveats, cautions, easements, extension of expired Government leases, licenses, Powers of Attorney, prohibitions, Rectification of Titles, trusts relating to land, applying for and obtaining various consents required under the law, attending to stamping and registration formalities in respect of the above-mentioned transactions (where applicable), and advising clients generally on all aspects of land law.

Corporate, Commercial & Financial Services

The team has experience in a wide range of transactional and litigation matters in corporate and commercial law. This practice recognizes the growth of conduct of business by way of incorporated entities, which entities must meet the basic thresholds of legal status to validly enter into legal relations. Accordingly, we offer advisory services in legal matters involving company formation, structuring and re-constitution, banking and finance, business agreements and commercial contracts, competition, consumer protection, joint ventures, mergers and acquisitions, project finance, private placements, procurement, private equity, insurance, employment, legal tax advisory, listings, public offerings, regulatory compliance and risk management.

Media, Entertainment & ICT Law

Our team has knowledge and experience in both the public and private sectors in all commercial and regulatory aspects of telecommunications, broadcasting, technology, entertainment and media law. This is further bolstered by our ability to cross reference with other business areas within the firm enabling us to offer legal assistance in these areas for the best possible all-round solution to our clients’ needs.

Intellectual Property Law

We offer advice on all aspects of intellectual property law ranging from valuation, protection, registration and maintenance of intellectual property, to enforcement, licensing and exploitation of intellectual property rights. These include statutory intellectual property, specifically, trademarks, copyright, patents, designs and plant breeders’ rights, as well as some non-statutory forms of intellectual property, including know-how, confidential information and trade secrets.

Energy, Natural Resources & Environmental Law

Our natural resources, energy and environmental practice includes transactional and litigation work including the negotiation and preparation of agreements and related documents associated with the financing, due diligence, acquisition, permitting, exploration, development, production, gathering, transportation and marketing of natural resources and various sub-sectors in the energy field.

Additionally, we also offer legal advisory services relating to infrastructure projects in the sectors of power generation, petroleum, gas and other natural resource projects as well as provide guidance on licensing and compliance with the legal, environmental and social regulations. We further offer legal services related to financing of infrastructure projects through debt financing, asset-based finance, equity investments and public-private partnerships.

Our Blog

Our passion and desire to make a difference and practise the law differently has inspired us to monitor developments and legal trends across the world and share our thoughts and research on our blog. We seek to demystify legal principles by writing simply and practically in a manner that shows how the law can be applied directly to everyday situations to help protect and advance your interests.

It’s not all starchy though! We’ll throw in snippets of life at NMK, and our dragon slaying stories, which we hope you’ll find, at the very least, slightly intriguing.

So, check your internet connection, take some time and feel free to click on an article…or two…well, maybe all of them. Oh, and please don’t forget to subscribe for direct updates.
